Saneerimise eesm\u00e4rk on abin\u00f5ude rakendamine, mille tulemusel saavad ettev\u00f5tte majandusraskused \u00fcletatud ja edaspidine tegevus j\u00e4tkuda. Saneerimismenetluse olemus on eelk\u00f5ige juba sissen\u00f5utavaks muutunud v\u00f5lgade restruktureerimine, mitte k\u00f5igi lepingute kohtu korras muutmine tulevikku suunatuna (p\u00f5him\u00f5tteliselt on edasiulatuvalt v\u00f5imalik muuta laenulepinguid, kui vastasel korral ei oleks \u00e4ritegevuse j\u00e4tkumist t\u00f5en\u00e4oliselt v\u00f5imalik saavutada). Saneerimise algatamise otsustab ettev\u00f5tja avalduse alusel kohus, kes m\u00e4\u00e4rab t\u00e4htaja, millal tuleb kohtule kinnitamiseks esitada v\u00f5lausaldajate polt heakskiidetud saneerimiskava. Sellel ajavahemikul k\u00fclmutatakse v\u00f5lausaldajate n\u00f5uded ettev\u00f5tja vastu (sh peatub t\u00e4itemenetlus).\n\nSaneerimiskavas tuleb kirjeldada ja p\u00f5hjendada, mis viisil ja ulatuses v\u00f5lausaldajate n\u00f5uded \u00fcmber kujundatakse. Saneerimisabin\u00f5udena kasutatakse peamiselt v\u00f5lausaldajate n\u00f5uete ajatamist ja v\u00e4hendamist (nt k\u00f5iki n\u00f5udeid v\u00e4hendatakse poole v\u00f5rra ja ajatatakse tasumine x aasta peale). V\u00f5imatu pole ka v\u00f5lausaldaja poolt n\u00f5ude vastu osaluse omandamine \u00e4ri\u00fchingus.\n\nSaneerimiskava vastuv\u00f5tmiseks on vaja v\u00e4hemalt poolte v\u00f5lausaldajate n\u00f5usolekut, kusjuures nende n\u00f5uded peavad kokku moodustama v\u00e4hemalt 2\/3 k\u00f5igi n\u00f5uete summast. Vastuv\u00f5etud ja kohtu poolt kinnitatud saneerimiskava on kohustuslik ka nendele v\u00f5lausaldajatele, kes h\u00e4\u00e4letasid kava vastu, st enamus otsustab v\u00e4hemuse n\u00f5uete \u00fcle. Kava kinnitamisega olemasolev n\u00f5ue sisuliselt &#8220;k\u00fclmutatakse&#8221; ja saneerimiskavaga luuakse selle k\u00f5rvale uus v\u00f5lasuhe, mille t\u00e4itmine hakkab toimuma kava j\u00e4rgi. Kui kava t\u00e4idetakse, loetakse t\u00e4idetuks ka esialgne n\u00f5ue. Saneerimismenetluse ajatelg on toodud kirjat\u00fcki l\u00f5pus.\n<h5><strong>Millal on \u00f5ige aeg saneerimisega alustada<\/strong><\/h5>\nSaneerimisega peaks alustama esimeste makseraskuste ilmnemisel. Meeles tuleb pidada, et saneerida saab vaid maksej\u00f5ulist \u00e4ri\u00fchingut olukorras, kus tema maksej\u00f5uetus ei ole veel k\u00e4tte j\u00f5udnud, vaid selle tekkimine on t\u00f5en\u00e4oline tulevikus. Saneerimismenetlus on v\u00e4listatud, kui isiku suhtes on juba pankrotimenetlus algatatud.\n\nLisaks ei tasu lasta ennast eksitada pankrotiseaduse (pandeemia)muudatustest, mis annab v\u00f5imaluse pankrotiavaldust m\u00f5nda aega mitte esitada ning piirab v\u00f5lausaldajate \u00f5igust pankrotimenetlust algatada. Need meetmed on igal juhul ajutised. Raskustes olles liiga kauaks ootele j\u00e4\u00e4des tekib p\u00fcsiv maksej\u00f5uetus ning saneerimise algatamisel ei ole enam m\u00f5tet. Mida varem Sa raskuste tekkimisel saneerimisega alustad, seda suurem on t\u00f5en\u00e4osus, et ettev\u00f5te saab p\u00e4\u00e4stetud.\n<h5><strong>N\u00f5ustaja roll <\/strong><\/h5>\nSaneerimismenetluses kaasatakse alati protsessi saneerimisn\u00f5ustaja, kelleks v\u00f5ib olla muuhulgas vandeadvokaat, pankrotihaldur v\u00f5i audiitor. Saneerimisn\u00f5ustaja peamised \u00fclesanded on: ettev\u00f5tja abistamine saneerimiskava koostamisel ja v\u00f5lausaldajatega l\u00e4bir\u00e4\u00e4kimisel, kohtule arvamuse andmine saneerimiskava eduv\u00e4ljavaadete kohta, suhtlemine kohtu ja v\u00f5lausaldajatega. Siin tuleb r\u00f5hutada, et hea l\u00e4bir\u00e4\u00e4kimis- ja veenmisoskus on saneerimisn\u00f5ustaja puhul v\u00f5tmet\u00e4htsusega \u2013 ilma suuremate v\u00f5lausaldajate n\u00f5usse saamiseta ei toimu ka saneerimiskava kinnitamist.\n\nSoovitan igal juhul teha saneerimisavalduses ettepanek nimetada n\u00f5ustajaks isik, keda Sa usaldad ja kellega omavaheline keemia t\u00f6\u00f6tab. Kui see inimene vastab seaduse n\u00f5uetele ja on andnud oma n\u00f5usoleku, ei ole kohtul p\u00f5hjust keelduda tema m\u00e4\u00e4ramisest saneerimisn\u00f5ustajaks.\n<h5><strong>Kasutage saneerimist julgelt \u2013 eelduste olemasolul pole midagi kaotada<\/strong><\/h5>\nKogu saneerimisseaduse kehtivuse jooksul on v\u00e4ljendatud arvamust, et saneerimine ei ole raskustes ettev\u00f5tete p\u00e4\u00e4stmise vahendina laiemalt t\u00f6\u00f6le hakanud. Arvan, et just pandeemiakriisi p\u00f5hjustatud laialdane majanduslangus on see, mis peaks saneerimise eelised esile t\u00f5stma. V\u00f5lausaldajatel on ehk kergem oma n\u00f5uete v\u00e4hendamise ja ajatamisega n\u00f5ustuda just selle ajaloos senin\u00e4gematu ulatusega \u00e4riseisaku tingimustes.\n\nJulgustan v\u00f5tta majandusraskuste ilmnemisel hetkeks aeg maha ning esitada endale ja oma n\u00f5ustajale kaks k\u00fcsimust: (i) kas minu ettev\u00f5tte \u00e4rimudel v\u00f5ib kriisij\u00e4rgsel ajal \u00fcldse toimida, ning (ii) kas uues olukorras l\u00e4hima paari-kolme aasta rahavood v\u00f5iksid katta olemasolevaid kohustusi suuremas ulatuses, kui kohese pankroti korral. Jaatava vastuse korral m\u00f5lemale k\u00fcsimusele tuleks viivitamata saneerimise algatamise suunas liikuda.\n\nKui Sul ei \u00f5nnestu eesseisva maksej\u00f5uetuse olukorras v\u00f5lausaldajaid veenda saneerimiskavas toodud abin\u00f5ude edukuses, on pankrot ainult aja k\u00fcsimus. Kokkuv\u00f5ttes &#8211; kaotada pole midagi. Isegi vaatamata v\u00f5imalikule eba\u00f5nnestumisele oled saneerimise alternatiivi lauale pannes teinud peaaegu k\u00f5ik, mis ettev\u00f5tte p\u00e4\u00e4stmiseks teha sai.\n\nAdvokaadib\u00fcrool TRINITI on pikaaegne kogemus saneerimise n\u00f5ustamisel ning saneerimiskavade edukal kinnitamisel.
