Juhul kui t\u00f6\u00f6 on iseenesest kvaliteetne, kuid samas ei sobi tellija vajaduste jaoks, n\u00e4iteks ei talu \u00fcle keskmise suurt koormust tulenevalt tellija tegevuse spetsiifikast, on t\u00f6\u00f6v\u00f5tja lepingut rikkunud, sest tehtud t\u00f6\u00f6 lepingutingimustele ei vasta.<!--more-->\nK\u00f5nealuses vaidluses olid pooled s\u00f5lminud suulise t\u00f6\u00f6v\u00f5tulepingu v\u00e4liplatsile freesasfaltkatendi paigaldamiseks, mis h\u00f5lmas ka katendi aluskihi ehitamist. T\u00f6\u00f6v\u00f5tja teostas t\u00f6\u00f6d kuid m\u00f5ne kuu m\u00f6\u00f6dudes tekkisid platsile roopad, plats hakkas plats lagunema ja pudenes laiali. Nimel tuleneb v\u00f5la\u00f5igusseadusest, et t\u00f6\u00f6 ei vasta lepingutingimustele, kui kokkuleppe puudumisel t\u00f6\u00f6 omaduste kohta ei sobi t\u00f6\u00f6 teatud otstarbeks, milleks tellija seda vajab ja mida t\u00f6\u00f6v\u00f5tja lepingu s\u00f5lmimise ajal teadis v\u00f5i pidi teadma, kui tellija v\u00f5is m\u00f5istlikult tugineda t\u00f6\u00f6v\u00f5tja erialastele oskustele v\u00f5i teadmistele, muul juhul aga otstarbeks, milles seda liiki t\u00f6\u00f6d tavaliselt kasutatakse.\n\nPooltevaheline vaidlus taandus suuresti sellele, kas ja kui palju tellija t\u00f6\u00f6v\u00f5tjale avaldama platsi kasutamise eritingimustes ning kas ja kui palju pidi t\u00f6\u00f6v\u00f5tja ise aru saama, et tegemist ei ole p\u00e4ris tavalise platsiga.\n\nRiigikohus selgitas, et \u00fchest k\u00fcljest kui tellija soovis kasutada platsi mingil kindlal viisil, mis ei vasta sellise platsi tavap\u00e4rasele kasutusotstarbele, pidi ta sellest t\u00f6\u00f6v\u00f5tjale enne lepingu s\u00f5lmimist teatama ja kui ta seda ei teinud, ei ole tal eeldatavasti \u00f5igust tugineda t\u00f6\u00f6 lepingutingimustele mittevastavusele p\u00f5hjusel, et t\u00f6\u00f6 ei sobi sellel otstarbel kasutamiseks. Kohtud ei tuvastanud, et tellija oleks enne lepingu s\u00f5lmimist t\u00e4psustanud, milliste s\u00f5idukitega ja missuguses mahus ta soovib platsi kasutada. Samas asus Riigikohus seisukohale, et \u00fclaltoodu ei vabasta t\u00f6\u00f6v\u00f5tjat vastutusest.\nNimelt j\u00f5udis Riigikohus j\u00e4reldusele, et kui t\u00f6\u00f6v\u00f5tjal pidi asjaoludest tulenevalt, sh <strong>objektiga tutvumise p\u00f5hjal<\/strong>, tekkima kahtlus, et tellija v\u00f5ib vajada platsi kasutusotstarbeks, mis ei ole k\u00e4sitatav sellise platsi tavap\u00e4rase kasutusotstarbena, v\u00f5ib t\u00f6\u00f6v\u00f5tjale kui majandus- v\u00f5i kutsetegevuses tegutsevale isiku tuleneda seadusest kohustus k\u00fcsida tellijalt t\u00f6\u00f6 soovitava kasutusotstarbe kohta lisateavet. Riigikohus sedastas, et <span style=\"text-decoration: underline;\"><strong>kui t\u00f6\u00f6v\u00f5tja j\u00e4tab t\u00f6\u00f6 spetsiifilise kasutusotstarbe v\u00e4lja selgitamata olukorras, kus seda v\u00f5is temalt m\u00f5istlikult oodata, saab lugeda, et ta pidi teadma, et tellija vajab t\u00f6\u00f6d selleks otstarbeks.<\/strong><\/span>\n\nT\u00f6\u00f6v\u00f5tja argumenteeris, et ta ei peaks vastutama lepingutingimustele mittevastavuse eest muuhulgas ka p\u00f5hjusel, et ta j\u00e4rgis tellija juhist, st tellija valis mitme variandi vahel ning otsustas selle kasuks, millisel viisil t\u00f6\u00f6v\u00f5tja t\u00f6\u00f6 teostas. Riigikohus asus siiski seisukohale, et \u00fcksnes sellest, et t\u00f6\u00f6v\u00f5tja pakub tellijale valikuid, t\u00f6\u00f6v\u00f5tja vastutusest vabanemiseks ei piisa. Riigikohus selgitas, et tellija valib variandi, mis t\u00f6\u00f6 spetsiifiliseks kasutusotstarbeks ei sobi, vabaneb t\u00f6\u00f6v\u00f5tja vastutusest \u00fcksnes siis, kui ta on kas enne v\u00f5i p\u00e4rast variantide v\u00e4ljapakkumist tellijale selgitanud selle variandi sobimatuse aluseks olevaid asjaolusid v\u00f5i juhtinud tellija t\u00e4helepanu sellega kaasnevatele riskidele ning tellija j\u00e4\u00e4b t\u00f6\u00f6v\u00f5tja selgitustele vaatamata oma valikule kindlaks.\n\nSellest Riigikohtu lahendist saab t\u00f6\u00f6v\u00f5tulepingu s\u00f5lmimise ja t\u00e4itmise protsessi kaasa v\u00f5tta 4 soovitust:\n1. Suuline t\u00f6\u00f6v\u00f5tuleping ei ole k\u00f5ige optimaalsem lepinguvorm.\n2. T\u00f6\u00f6v\u00f5tjal on k\u00f5rgendatud kohustus selgitada v\u00e4lja tellija tegelik vajadus, st t\u00f6\u00f6v\u00f5tjana on v\u00e4ga soovitatav lepingueelsete l\u00e4bir\u00e4\u00e4kimiste k\u00e4igus k\u00fcsida tellijalt t\u00e4psustavaid k\u00fcsimusi, nagu n\u00e4iteks:\n2.1. Milleks tellitavat t\u00f6\u00f6d t\u00e4pselt vajatakse?\n2.2. Milliseid erisusi on tellija tegevuses?\n3. Tellija valikuvariantide andmisel peab iga valiku tagamaid tellijale selgitama v\u00e4hemalt kirjalikku taasesitamist v\u00f5imaldamas vormis (n\u00e4iteks e-kiri), et edasise vaidluse korral oleks v\u00f5imalik oma selgitamiskohustuse t\u00e4itmist t\u00f5endada.\n4.
